1. To be its Attorney with authority to sign and to do the acts and things specified in By-Laws on its behalf in relation to all its property and affairs for a period up to and not exceeding 3 calendar years from the date of this Deed;

2. The Attorney has authority in the name and on behalf of the Company and on such terms and conditions as may seem to her expedient to act generally in relation to the property and affairs of the Company as fully and effectually as the Company itself could do and without limiting the generality of the foregoing;

2.1. To be the representative of above company in any territory, to open representative office, to be the director of the mentioned representative office;

2.2. Sell or otherwise dispose of the Company’s property by public auction or private contract and with or without advertisements;

2.3. Raise or borrow money and grant security for this purpose over the Company’s property;

2.4. Grant or accept the surrender of a Lease or tenancy of any of the Company’s;

2.5. Take a Lease or tenancy of any property required or convenient for the business of the Company;

2.6. Buy or hire property of every description;

2.7. Effect and maintain insurances in respect of the business and property of the company;

2.8. Appoint a lawyer or accountant or other professionally qualified person to assist him in the performance of his functions;

2.9. Bring or defend and action or legal proceedings;

2.10. Make such settlement, compromise or other arrangement, as he considers expedient;

2.11. Refer to arbitration any question affecting the Company;

2.12. Appoint any agent to do business, which he is unable to do himself, which can be more conveniently done by an agent;

2.13. Employee and dismiss employees;

2.14. Open, operate, overdraw and close any Bank account;

2.15. To draw, accept, make and endorse any bill of exchange or promissory note;

2.16. To give and accept receipts;

2.17. To discharge all debits owing by the Company;

2.18. To receive all money owing to the Company;

2.19. Invest any of the Company’s money in such investments, as he considers appropriate;

2.20. Make any payment, which is necessary or incidental to the performance of his functions;

2.21. Execute all deeds and other documents;

2.22. To do all such other things incidental to the exercise of the above powers or which he considers necessary or expedient for the interests of the Company;

2.23. To have the rights of the transfer the Power of Attorney to any person on such terms of Power of Attorney;

3. The Company hereby undertakes at the request of the Attorney to ratify everything which its Attorney or any substitute or substitutes or agent or agents appointed by him under the powers in that behalf hereinbefore contained shall do or purport to do by virtue of this Deed.
